Driver Partner Agreement

By registering as a Pilot on the VandiPilot platform, you acknowledge and agree to the following independent contractor terms and conditions.
1. Nature of Engagement (Independent Contractor)
The Pilot is engaged strictly as an independent contractor. This Agreement does not create an employer-employee relationship, partnership, or joint venture. The Pilot is free to accept or reject trip requests and is not entitled to PF, ESI, gratuity, or any employee benefits from the Company.
2. Absolute Indemnification & Liability
The Pilot acknowledges that they are exclusively responsible for the safe operation of the customer’s vehicle. The Pilot shall fully indemnify, defend, and hold harmless the Company, its partners, and its customers from any and all claims, damages, liabilities, fines, or losses arising from:
- Traffic violations, challans, or penalties incurred during the trip.
- Accidents, collisions, or damages to the customer's vehicle or third-party property.
- Theft, misappropriation of property, or any criminal act committed by the Pilot.
The Company acts solely as a technology aggregator connecting the customer with the Pilot and assumes zero liability for the Pilot’s actions behind the wheel.
3. Commercials & Remittances
A. Fare Calculation & Payment Collection: The Pilot is exclusively responsible for calculating the final trip fare strictly according to the Company's predefined pricing structure. The Pilot shall collect the complete, final payment directly from the customer at the end of the trip via Cash or UPI.
B. Fee Structure & Commission: The Pilot is entitled to retain 90% of the base trip fare, along with 100% of any applicable night bata, food allowance, and customer tips. The Pilot agrees to pay the Company a flat platform technology fee of exactly 10% of the total base trip fare.
C. Commission Remittance Timeline: As the Pilot collects the total fare directly, the Pilot is legally obligated to remit the Company's 10% commission to the Company's designated bank account or UPI ID by the end of the same working day (11:59 PM).
4. Zero Tolerance & Code of Conduct
The Pilot's access to the VandiPilot platform will be permanently terminated with immediate effect if found violating any of the following:
- Driving under the influence of alcohol, drugs, or any intoxicating substances.
- Engaging in unprofessional, abusive, or inappropriate behaviour with the customer.
- Allowing any unauthorized third party to accompany them during a customer trip.
5. Trip Commitment & Cancellation Penalties
A. Commitment to Scheduled Trips: The Pilot acknowledges that accepting a trip request constitutes a firm professional commitment to execute the service at the designated date and time.
B. Unexcused Cancellations & No-Shows: To maintain platform reliability, the Company enforces strict penalties for unexcused cancellations or failure to arrive at the pickup location ("No-Shows") after accepting a booking.
- Late Cancellation: If the Pilot cancels a confirmed trip less than 12 hours before the scheduled pickup time without a verified medical or physical emergency, a penalty fee of ₹500 will be levied.
- No-Show: If the Pilot fails to arrive at the pickup location and is unreachable by the Customer or the Company, a severe penalty of ₹1000 will be levied.
C. Penalty Remittance & Platform Suspension: The Pilot explicitly agrees to pay any incurred cancellation or no-show penalties directly to the Company upon demand. The Company reserves the right to temporarily suspend or permanently terminate the Pilot’s access to the VandiPilot platform following two (2) late cancellations, a single (1) unexcused no-show, or any failure to remit the Company's 10% trip commission within the designated timeline.
6. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India. Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts in Kannur, Kerala.
